By engaging Quinton Hill Concierge Services Ltd — whether by submitting an enquiry, signing a service agreement, or making a payment — you agree to these Terms of Service. Please read them carefully before proceeding.
1. About Us
Quinton Hill Concierge Services Ltd is a company registered in Uganda, operating from Plot 28 Upper Kololo Terrace, Kampala, Uganda. We provide professional business concierge services including business registration and compliance, travel and immigration support, executive relocation, investment due diligence, concierge and lifestyle management, and private event planning.
2. Our Services
The specific services we will deliver are set out in a written service agreement, proposal, or written confirmation exchanged between us and you ("the Client"). These Terms of Service apply to all engagements unless expressly modified in writing.
We act as a professional intermediary and coordinator. Where services require interaction with government bodies (URSB, URA, Immigration, KCCA) or third-party providers, timelines and outcomes may be subject to those parties' processes, which are outside our control.
3. Starting an Engagement
An engagement begins when one of the following occurs:
- You sign a service agreement or letter of engagement issued by us
- You make a deposit payment referenced to a specific service or proposal
- You provide written confirmation (email or WhatsApp) authorising us to proceed
Before we can begin work, the Client must provide all information and documentation reasonably required to deliver the services. Delays caused by incomplete or inaccurate information provided by the Client are not our responsibility.
4. Fees and Payment
Our fees are as quoted in your service agreement or proposal. Where no written agreement exists, fees will be quoted in advance and confirmed in writing before work begins.
- Currency — fees are quoted and invoiced in USD or UGX, as agreed
- Payment terms — invoices are due within fourteen (14) calendar days of issue unless stated otherwise
- Deposits — a deposit (typically 50%) may be required before work commences. Deposits are non-refundable once work has begun unless we have failed to deliver the agreed service
- Late payment — invoices unpaid after the due date may attract interest at 2% per month on the outstanding balance
- Third-party costs — government fees, filing charges, and other third-party disbursements are billed at cost and are additional to our service fees unless bundled in writing
5. Client Obligations
To allow us to deliver our services effectively, the Client agrees to:
- Provide accurate, complete, and timely information and documentation as requested
- Respond to reasonable requests from us within three (3) business days
- Make payments on time in accordance with agreed terms
- Notify us promptly of any changes in circumstances that may affect the services
- Not engage any third party to provide the same services during an active engagement without our knowledge
6. Confidentiality
Both parties agree to maintain strict confidentiality regarding all information shared in connection with an engagement. Neither party will disclose the other's confidential information to any third party without prior written consent, except:
- As required by law or a competent regulatory authority
- To professional advisors, service partners, or government bodies as necessary to deliver the services
- Where the information is already publicly available
This obligation of confidentiality survives termination of any engagement for a period of five (5) years.
7. Intellectual Property
All reports, due diligence documents, analyses, and deliverables produced by us remain our intellectual property until full payment has been received. Upon full payment, the Client receives a non-exclusive licence to use those deliverables for their own internal business purposes.
Our reports and documents may not be reproduced, distributed, or shared with third parties without our prior written consent.
8. Limitation of Liability
We will perform services with reasonable professional skill and care. However, we are not liable for:
- Delays, refusals, or adverse decisions by government bodies, regulatory authorities, or third parties
- Outcomes resulting from inaccurate or incomplete information provided by the Client
- Events outside our reasonable control (force majeure), including but not limited to strikes, natural disasters, power failures, or changes in law
- Indirect, consequential, or special losses, including loss of profit or opportunity
Our total liability to the Client in connection with any engagement is limited to the total fees paid to us in the three (3) months preceding the event giving rise to the claim.
9. Termination
Either party may terminate an engagement by providing fourteen (14) days written notice to the other party. Upon termination:
- All fees for work completed up to the termination date remain payable
- Any non-refundable deposits remain with us unless we have materially failed to deliver the agreed service
- We will provide the Client with all documents and deliverables completed at the time of termination
We may terminate immediately and without notice if the Client provides false information, fails to make payment after a formal reminder, or engages in conduct that we reasonably consider to be illegal or harmful.
10. Governing Law and Disputes
These Terms of Service are governed by and construed in accordance with the laws of the Republic of Uganda. Any disputes arising from or in connection with these Terms shall first be referred to good-faith negotiation between the parties. If unresolved within thirty (30) days, disputes shall be subject to the exclusive jurisdiction of the courts of Uganda.
11. Changes to These Terms
We may update these Terms of Service from time to time. Material changes will be published on this page with an updated date. Continued engagement with our services after that date constitutes acceptance of the revised terms. Where an active service agreement is in place, the terms of that agreement prevail over these general terms for the duration of the engagement.
